Last updated: August 06, 2025

These Terms are a plain-language summary of the agreement between you and Osentix. They do not replace mandatory consumer rights.

1. Who we are

Osentix ("we", "us", "our") operates osentix.com and related products and services (collectively, the "Services").

Registered in Germany. Address: Isenkamp 5, 26313 Oldenburg, Germany. VAT ID: DE 318234525. Contact: [email protected].

2. Agreement to these Terms

By accessing or using the Services, you enter into a binding agreement with us and accept these Terms. If you do not agree, you must not use the Services. The Services are intended only for individuals who are at least 18 years old.

3. Changes to these Terms

We may update these Terms from time to time. The "Last updated" date will change accordingly. Your continued use after an update constitutes acceptance of the revised Terms. Please review them periodically.

4. Scope of our Services

Information in the Services is not intended for distribution or use in any jurisdiction where such distribution or use would be contrary to law or would subject us to registration requirements. If you access from other locations, you do so on your own initiative and are responsible for local compliance.

The Services are not designed to comply with sector-specific regimes (e.g., HIPAA, FISMA, GLBA). If your use would be subject to such frameworks, you may not use the Services.

5. Intellectual property

Our content

The Services and all software, source code, databases, designs, text, photos, graphics, audio/video, and other materials (the "Content"), as well as trademarks, service marks, and logos (the "Marks"), are owned by us or our licensors and are protected by copyright, trademark, and unfair-competition laws.

Your limited license

We grant you a revocable, non-exclusive, non-transferable license to access the Services and to view, download, or print Content you lawfully access for your own internal business purposes, subject to these Terms.

Any other use—copying, public display, distribution, modification, sublicensing, or commercial exploitation—requires our prior written consent. A breach of this section may result in immediate termination of your access.

6. Accounts and registration

Some features require an account. You must provide accurate, current information and keep credentials confidential. We may remove or reclaim usernames that infringe rights or are offensive. If your information is false, outdated, or incomplete, we may suspend or terminate your account.

7. Your promises

You represent and warrant that: (a) your registration data is true and up to date; (b) you have legal capacity and will comply with these Terms; (c) you will not access the Services by automated means (bots, scripts, etc.); (d) you will not use the Services for unlawful or unauthorised purposes; and (e) your use complies with applicable law.

8. Purchases and payments

Accepted payment methods: Visa, Mastercard, American Express. All charges are in Euros and may include applicable taxes. Prices may change at any time.

You authorise us to charge your chosen payment method for due amounts. You agree to keep your billing and contact details current. We may correct obvious pricing errors even after payment is requested and may refuse or limit orders (e.g., per customer, account, address, or payment method).

9. Subscriptions

Billing & renewal

Subscriptions continue until cancelled and renew automatically based on your plan's billing cycle.

Free trial

New users receive a 7-day free trial. No charges accrue during the trial. At the end of the trial, access will pause unless you upgrade to a paid plan.

Cancellation

You may cancel at any time from your account settings. Cancellation takes effect at the end of the current paid term. Questions: [email protected].

Fee changes

We may change subscription fees with notice in accordance with applicable law.

10. Prohibited activities

You may use the Services only for their intended purpose. In particular, you must not:

  • systematically harvest data or Content to create a database or directory without our written consent;
  • deceive or attempt to obtain sensitive information (e.g., passwords);
  • bypass, disable, or interfere with security or access-control features;
  • use information from the Services to harass, threaten, or harm another person;
  • send spam, flood, or transmit malware or harmful code;
  • use automated means (crawlers, scrapers, bots) without our permission;
  • remove proprietary notices, reverse engineer (except as permitted by law), copy or adapt our software;
  • impersonate others or use another user's credentials;
  • deploy tracking/collection mechanisms without a legal basis and transparency;
  • interfere with or unduly burden networks or the operation of the Services;
  • collect emails/usernames to send unsolicited messages;
  • use the Services in direct competition with us or primarily for revenue-generating exploitation without agreement;
  • sell or transfer your profile without our consent.

11. User content

If the Services allow you to submit or post content ("Contributions"), you may only share material you own or are authorised to use, and you must not infringe third-party rights (e.g., copyrights, trademarks, privacy/publicity rights) or post illegal, hateful, discriminatory, pornographic, defamatory, misleading, or otherwise objectionable material.

You retain ownership of your Contributions. To operate the Services, you grant us a non-exclusive, worldwide, royalty-free licence to host, store, reproduce, technically process, display, and distribute your Contributions as necessary for the Services. You are solely responsible for your Contributions.

If you send us feedback or suggestions, you grant us the right to use them for any lawful purpose without compensation.

12. Third-party links and content

The Services may link to third-party websites or display third-party content. We do not control and are not responsible for such sites or content. Your use of third-party sites is at your own risk and subject to their terms and policies.

13. Advertisers

We may display advertisements in designated areas. We provide the space only and do not otherwise endorse advertisers.

14. Service management

We may monitor the Services for compliance, take action against violations (including reporting to authorities), restrict or remove content, limit access, or manage storage and load to protect the operation of the Services.

15. Privacy

Please review our Privacy Policy: osentix.com/privacy. By using the Services, you agree to it. The Services are hosted in Germany. If you access from another region with different data rules, you consent to the transfer and processing of your data in Germany.

16. Term and termination

These Terms remain in effect while you use the Services. We may deny access to anyone, at any time and for any reason (including IP blocking), particularly for breach of these Terms or applicable law. We may terminate your account and remove content without prior notice. If we suspend or terminate your account, you must not create a new one without our permission. We may also pursue legal remedies.

17. Modifications and availability

We may change, suspend, or discontinue the Services (including pricing) at any time. We strive for availability but cannot guarantee uninterrupted access. We are not liable for downtime or service discontinuation.

18. Governing law

These Terms are governed by the laws of Germany, excluding the UN Convention on Contracts for the International Sale of Goods. If you are a consumer with habitual residence in the EU, you also benefit from mandatory protections of your country of residence. You and Osentix submit to the non-exclusive jurisdiction of the competent courts in Germany, and as a consumer you may bring claims in your EU member state of residence.

19. Dispute resolution

The European Commission provides an online dispute resolution platform at https://ec.europa.eu/consumers/odr. You can contact us to raise a concern at any time.

20. Corrections

The Services may contain typographical errors or inaccuracies (including descriptions, pricing, availability). We may correct or update information at any time without prior notice.

21. Disclaimer

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE". YOUR USE IS AT YOUR OWN RISK. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE ACCURATE, COMPLETE, UNINTERRUPTED, SECURE, OR FREE OF HARMFUL COMPONENTS.

22. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE AND OUR DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES (INCLUDING LOST PROFITS, REVENUE, OR DATA) ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY.

NOTWITHSTANDING ANYTHING TO THE CONTRARY, OUR AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICES WILL AT ALL TIMES BE LIMITED TO THE AMOUNT PAID, IF ANY, BY YOU TO US DURING THE SIX (6) MONTHS PRIOR TO THE EVENT GIVING RISE TO LIABILITY. Some laws do not allow limitations on implied warranties or exclusion of certain damages; in such cases, some limitations may not apply to you.

23. Indemnification

You agree to defend, indemnify, and hold us harmless (including affiliates and respective officers, agents, partners, and employees) from any claims, losses, liabilities, damages, costs, and expenses (including reasonable attorneys' fees) arising from or related to your (a) use of the Services, (b) breach of these Terms, (c) breach of your representations, (d) violation of rights of others, or (e) harmful acts toward other users. We may assume exclusive defence and control, and you will cooperate at your expense.

24. User data

We may store and process data you transmit to operate the Services and for performance monitoring. While we perform regular backups, you are responsible for your own data. We are not liable for loss or corruption of such data.

25. Electronic communications and signatures

Visiting the Services, emailing us, or completing forms constitute electronic communications. You consent to receive electronic communications and agree that all agreements, notices, disclosures, and other communications we provide electronically satisfy any legal requirement that such communications be in writing. YOU CONSENT TO ELECTRONIC SIGNATURES, CONTRACTS, ORDERS, AND RECORDS, and to the electronic delivery of notices and records.

27. Miscellaneous

These Terms, together with any policies posted on the Services, are the entire agreement between you and us regarding the Services. Failure to enforce a provision is not a waiver. If any provision is held invalid or unenforceable, the remaining provisions remain in effect. We may assign our rights and obligations at any time. No partnership, joint venture, employment, or agency relationship is created by your use of the Services. These Terms will not be construed against the drafter.
